1. Introduction & Acceptance
These Terms of Service (“Terms”) govern your access to and use of the Crop Media website (cropmedia.net), and the marketing, branding, consulting, and creative services (“Services”) provided by Crop Media (“Crop Media,” “we,” “us,” “our”), a digital marketing and business growth agency based in Khobar, Kingdom of Saudi Arabia.
By accessing our website, submitting an inquiry, filling out our discovery form, or engaging us for Services, you (“Client,” “you”) agree to be bound by these Terms. If you do not agree, please do not use our website or engage our Services.
Where a signed service contract exists between Crop Media and a Client, the terms of that contract take precedence over these Terms in the event of any conflict. Specific figures — including fees, discount percentages, late payment penalties, and approval deadlines — are defined in each Client’s individual signed contract and are not published on this page.

3. Our Engagement Process
Engaging Crop Media typically follows this sequence:
- Initial inquiry and consultation call
- In-person or online discovery meeting
- Completion of our discovery form (company background, market/competition, goals, budget, timeline, and decision-maker information)
- A proposal prepared based on your discovery form answers
- Review and discussion with the decision-maker
- A signed service contract
- Commencement of work
We do not begin billable work, and no proposal constitutes a binding commitment, until a service contract has been signed by both parties.
Service contracts are offered on monthly, quarterly, biannual, or annual terms, and automatically renew for an equivalent period unless either party gives written notice of non-renewal at least 30 days before the term ends. Longer-term commitments may qualify for a discount on total contract value, as specified in the signed contract.
4. Scope of Services
The specific services, deliverables, timelines, and fees for each engagement are defined in the individual proposal and service contract agreed with each Client, not by these general Terms. Where these Terms are silent or ambiguous, the signed contract governs.
Crop Media reserves the right to determine the strategic and creative approach used to deliver contracted outcomes, informed by our discovery process and ongoing performance data, unless the contract specifies otherwise.
5. Fees & Payment
- Fees, payment schedules, and pricing tiers are set out in the Client’s individual proposal and service contract.
- Unless otherwise agreed in writing, fees are billed in Saudi Riyals (SAR) and are exclusive of VAT.
- Payment for quarterly, biannual, and annual contracts is due in full in advance of each new term. Monthly contracts are billed on a recurring monthly basis, due by a fixed day of each month as specified in the contract.
- Late payments accrue a cumulative daily penalty until settled, at the rate specified in the signed service contract.
- Crop Media reserves the right to pause or suspend active work, including scheduled content, campaigns, or deliverables, if payment remains overdue beyond the grace period specified in the signed contract, until the account is brought current. Crop Media is not responsible for any delay or impact on campaign performance resulting from such suspension.
- Any third-party costs incurred on the Client’s behalf — including but not limited to advertising ad spend (Google Ads, Meta Ads), stock licensing, printing, or paid tools — are billed separately from our service fees unless stated otherwise in the contract.
6. Client Responsibilities
To deliver effective work, we rely on timely Client cooperation, including:
- Providing accurate, complete information during the discovery process
- Timely feedback and approvals on proposals, creative work, and campaigns
- Providing necessary access (e.g., ad accounts, social media accounts, website/CMS access) where required for us to perform the Services
- Ensuring any content, materials, trademarks, or claims supplied by the Client for use in campaigns are accurate and that the Client holds the rights to use them
Unless otherwise agreed, the official communication channel for an active engagement is a dedicated WhatsApp group between the Client’s representative(s) and the assigned Crop Media account manager. Content, designs, and strategy sent for review are subject to defined approval windows set out in the signed contract; if the Client does not respond within that window, the material is treated as automatically approved unless the Client has requested in writing to disable auto-approval, in which case execution remains paused until an explicit response is received.
Delays caused by the Client’s failure to provide timely feedback, access, materials, or approvals may affect delivery timelines and campaign results, and Crop Media is not responsible for resulting delays or their downstream effects.
7. Intellectual Property
- Client-supplied materials (logos, existing brand assets, product photography, copy, trademarks) remain the property of the Client. The Client warrants it has the right to use and share these materials with us.
- Work created by Crop Media (campaign concepts, designs, videos, copywriting, strategy documents, and other deliverables) becomes the property of the Client upon full payment for the relevant engagement, unless otherwise stated in the signed contract.
- Until full payment is received, all deliverables remain the intellectual property of Crop Media.
- Crop Media reserves the right to showcase completed work (case studies, portfolio pieces, social proof) for its own marketing and business development purposes, unless the Client requests confidentiality in writing and Crop Media agrees to that request.
- Any pre-existing tools, frameworks, templates, or proprietary methodologies used by Crop Media in delivering Services remain the property of Crop Media.
8. Confidentiality
Both parties agree to keep confidential any non-public business, financial, strategic, or operational information shared during the course of the engagement, and to use such information solely for the purpose of the engagement, except where disclosure is required by applicable Saudi law or a competent authority. This obligation survives the end of the engagement for a period specified in the signed service contract.
9. Referral & Loyalty Program
Existing Clients who refer a new client that goes on to sign a service contract with Crop Media may become eligible for a reward — either complimentary services or a discount applied to their own ongoing contract, at Crop Media’s discretion. Rewards are only earned once the referred client’s contract is formally signed and active, and any ongoing discount tied to a referral continues only for as long as the referred client’s contract remains active. Full eligibility criteria and reward levels are set out in the signed service contract. Crop Media may modify or discontinue this program for future referrals at any time, without affecting rewards already earned.
10. Termination
- Either party may terminate an active engagement by providing advance written notice, with the required notice period specified in the signed service contract.
- Upon termination, the Client remains responsible for payment of fees for work completed and costs incurred up to the effective termination date.
- Crop Media reserves the right to terminate an engagement immediately and without prior notice in cases of repeated non-payment or a serious breach of the signed contract by the Client.
11. Limitation of Liability
- Crop Media commits to delivering Services with professional skill and care, but does not guarantee specific business outcomes (e.g., exact revenue, follower counts, or conversion figures), as these depend on factors outside our control (market conditions, third-party platform algorithms, Client-side execution, etc.).
- To the maximum extent permitted under the laws of the Kingdom of Saudi Arabia, Crop Media’s total liability for any claim arising from the Services shall not exceed the total fees paid by the Client for the specific engagement giving rise to the claim.
- Crop Media is not liable for indirect, incidental, or consequential damages, including loss of profits or business opportunities.
- Nothing in these Terms limits liability that cannot be excluded under applicable Saudi law.
12. Website Use
- Content on this website (text, graphics, logos, case study data) is the property of Crop Media or its Clients (where case studies are shown with permission) and may not be reproduced without written consent.
- You agree not to misuse the website, attempt unauthorized access, or use it in any way that could damage, disable, or impair its functioning.
- Case study figures and statistics presented on this website reflect performance for the specific Client and campaign referenced and are not a guarantee of similar results for other businesses.
13. Governing Law & Disputes
These Terms, and any engagement with Crop Media, are governed by the laws of the Kingdom of Saudi Arabia. Any dispute arising from these Terms or a service contract shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved amicably within the period specified in the signed contract, it shall be referred to the competent court or arbitration body in Khobar / the Eastern Province, Kingdom of Saudi Arabia.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services or legal requirements. The “Last updated” date at the top of this page will reflect the most recent revision. Continued use of our website or Services after changes are posted constitutes acceptance of the updated Terms.
